TERMS & CONDITIONS For Becoming a Dealer - Direct Seller ( Offline Stores / Direct to individuals )
Definition of a Direct Seller : A person / individual, citizen of India, having valid PAN, AADHAR, Bank Account and is ready to will fully invest in purchasing goods in advance for selling to individuals, through direct promotions, visit, door to door, exhibition, etc. on a small scale basis.
Definitions : Principal : Jegson Innovative Industries.
Products : “Veg Fru Wash”, “Ecosense”, “Goodclean” and “Neem Jeevan” range of products offered by Jegson through its website www.jegson.in
Territory : Any place within India applied for and accepted by Jegson.
Jegson holds the right to change, amend territory of any individual, entity, etc. anytime and the appointed Direct Seller is in compulsion to abide and agree to Jegson.
Permissions : Sale of Jegson’s products only to individuals within the territory by multiple promotional means like market promotions, exhibitions, door to door sales, community sales, society sales and the like in a small scale level. Also conditional permission to sell through individual offline retail stores within the territory till there is a Direct Seller is appointed in the same territory for offline sales.
Prohibitions : Export of products out of India, Online Sale within or outside India,
The Period for agreement is ONE Year only with automatic renewal with business continuation terms.
Direct Seller shall purchase minimum stock per order or minimum amount agreed by Jegson for whole
territory to service, demonstrate, supply to stores, sub Direct Sellers, Direct Sellers with in the territory.
The Direct Sellers shall abide by the terms set forth by Jegson.
The Direct Seller shall be entirely liable for all the transactions related to market (cash/credit) and same
will have no lien or claim on us what so ever
Direct Sellers will not without the prior consent in writing by the company transfer or change any
Matter, make over or assign to any other person, firm or company the benefit of this agreement.
The Direct Seller agrees to the margin’s, special pricing offered on the website www.jegson.in and is
will-fully investing in the goods and is fully aware to sell these goods to individuals / offline stores only
through is own team or efforts without any physical assistance from Jegson.
It is clearly understood that this agreement is a commercial agreement and this agreement may be
terminated by the company without any notice/ reason and without liability to pay any compensation.
This agreement shall become valid from first purchase order.
There has to be 1 purchase order within every two months minimum of the minimum quantity fixed by
Jegson. Incase the Direct Seller doesn’t purchase minimum quantity the Direct Seller shall be terminated
Company will not allow the Direct Seller to supply/sale of the products beyond his authorized territory.
If he is found to do so, his Direct Selling rights will be terminated by the company.
Company will not be responsible for any damages after the goods have been delivered to the Direct Seller.
Goods are sold on outright sale basis and will not be taken back in any condition.
Company holds the right to appoint/change the Direct Seller as and when required.
Any dispute between Direct Seller and company should be settled amicably, within 15 days from
the date of dispute or, either party can give one months notice after which Direct Selling rights will be
automatically terminated. Company’s decision will be binding on the Direct Seller.
Company may terminate the distribution rights if Direct Seller faults or any of the following points:
Not keeping the minimum stock as per company’s suggestion.
Not taking interest in the marketing of the company’s products.
Not supplying the products as per order and in time to stores.
Overlapping the area assigned or selling out of authorized area.
Selling beyond MRP.
Any other reason, which may arise or deemed fit for cancellation of Direct Sellership.
The goods shall be supplied through courier, surface transport and company shall not be liable for any
delay in delivery of goods due to external factors. The Direct Sellers cannot cancel placed order once it has
If there is any damage of goods in transit, the Direct Seller shall immediately email the images of the
damage within 24 hours of receipt to get replacement without any charge but if it is not reported or
emailed within 24 hours of receipt there shall be no replacement or compensation from Jegson.
This is a non-exclusive distribution agreement, Jegson may appoint multiple Direct Sellers within the same
territory as needed.
The stores can directly purchase goods from website www.jegson.in within the territory of the Direct Seller
as per the policy of Jegson and Direct Seller cannot claim any compensation.
This agreement covers general trade outlets and modern trade outlets within the said territory. The
company however holds the right to supply directly should there be such need due to inability of
Direct Seller to supply the said outlet / individual without any compensation to the Direct Seller.
The Direct Seller shall not sell the products to any other person, party or firm residing outside the territory
nor shall it knowingly sell the products to any person, company or firm residing within the territory for
subsequent exportation to any other territory without the express written consent of Jegson.
In case of disputes, the jurisdiction will be in the courts of Delhi only.
Nothing in this agreement shall oblige to limit or effect in any way the principal's right to change the
design, technical specifications or other capabilities or services appertaining to the good or
discontinue the production or distribution of any product.
